Vendor Terms and Conditions
By submitting payment, the Vendor agrees to abide by the following terms and conditions for participation in the following event:
1. Event Details
Event Name: MNKC’S KPOP Summer Bash
Event Date: June 14, 2025
Event Location: Double Tree Hilton Minneapolis Airport
Event Hours: 12:00 PM - 5:00 PM
2. Vendor Application and Payment
The Vendor must submit a completed application and full payment to secure their space.
Incomplete payment will result in the non-confirmation of your space. Vendors are required to submit full payment to complete their application; failure to do so will lead to the forfeiture of your spot, which will then be offered to another party.
3. Vendor Space and Requirements
Vendor spaces are assigned by the Event Organizer and are subject to availability.
The Vendor will be assigned a space of based on the selection of their booth at the time checkout and completion.
The Vendor is responsible for providing their own display materials, including tables, chairs, tents, signage, and any other equipment necessary for their booth.
Vendors are required to remain within their assigned space and comply with event layout specifications.
4. Vendor Responsibilities
Vendors must ensure that their booth is set up and ready for operation on the day of event.
Vendors are responsible for the staffing and operation of their booth throughout the entire event.
The Vendor is responsible for complying with all applicable local, state, and federal laws, including health and safety regulations, licensing, and tax requirements.
Vendors must maintain a clean and safe booth area during the event and clean up their space after the event.
5. Payment and Cancellation Policy
Full payment is due at checkout.
Cancellations received 2 weeks prior to the event will be refunded in full, minus a 3% administrative fee.
Cancellations made within 2 weeks of the event will not be refunded.
The Event Organizer reserves the right to cancel the event due to unforeseen circumstances, in which case a full refund will be issued to all vendors.
6. Insurance and Liability
The Vendor is solely responsible for any and all damages or injuries that occur in connection with their booth or operations.
The Vendor agrees to hold the Event Organizer harmless from any claims, damages, or losses arising out of the Vendor's participation in the Event.
The Vendor must carry appropriate insurance, including liability insurance, to cover their activities during the event.
7. Vendor Responsibility for Sales Tax Reporting and Payment
By submitting payment, the Vendor acknowledges and agrees to all terms and conditions outlined in this Agreement and affirms that they are solely responsible for reporting and paying their own sales taxes in accordance with applicable local, state, and federal laws.
The Vendor agrees to comply with all relevant tax regulations and hold the Event Organizer harmless for any tax-related obligations.
The Minnesota sales tax form ST-19 can be found here for tax exempt vendors. Vendors are responsible for reporting their own taxes per Minnesota Department of Revenue requirements, more information can be found here.
7. Event Setup and Breakdown
Vendors are required to set up and break down their booths within the designated hours.
Setup instructions, loading and unloading guidelines, and other event-specific information will be sent to the Vendor 1-2 weeks prior to the event.
Vendors are responsible for ensuring their booths are staffed during the entire event. Early breakdown is not allowed without prior approval from the Event Organizer.
8. Conduct and Behavior
Vendors are expected to maintain a professional and courteous demeanor at all times.
Disruptive behavior, including harassment, noise disturbances, or violation of the event’s rules, may result in immediate removal from the event without a refund.
The Event Organizer reserves the right to remove any vendor that does not adhere to the terms and conditions outlined in this Agreement.
9. Marketing and Promotion
The Vendor agrees to allow the Event Organizer to use their name, brand, and booth image in promotional materials, including social media and marketing communications related to the Event.
The Vendor is also encouraged to promote their participation in the Event via their own marketing channels.
10. Force Majeure
In the event that the Event must be canceled or rescheduled due to unforeseen circumstances, such as weather, natural disasters, or government restrictions, the Event Organizer is not liable for any costs incurred by the Vendor. Refunds or rescheduling options will be offered as determined by the Event Organizer.
11. Agreement Binding
By submitting payment, the Vendor acknowledges and agrees to all terms and conditions outlined in this Agreement and affirms that they will comply with all rules and regulations established by the Event Organizer.
